Mergers & Acquisitions
We advise on sales, acquisitions and mergers of companies, from first assessment to signed agreement.
Selling a company
How a sale is carried out matters for price, terms and what happens to the company afterwards. We prepare the company, present it clearly and approach industrial and financial buyers who can see its value. A competitive process gives the owners a sound basis for choosing a buyer and terms.
A sale can cover the whole company or a stake, and the buyer may be an industrial player, an investment firm or the management team.
- Preparation with a financial model, valuation, teaser and information memorandum
- Identifying and approaching relevant buyers, in Norway and abroad
- Assessing bids, leading negotiations and coordinating due diligence
- Following up the transaction documents with the company's lawyer through to closing
Buying a company
For acquisitions, we help find and assess relevant companies, including those that are not on the market. We value the target, assess the financing and negotiate structure and price.
- Acquisition strategy and target criteria
- Identifying and making first contact with targets
- Valuation, bid strategy and acquisition financing
- Negotiations, due diligence and transaction documents
Mergers and ownership changes
In mergers, we help value the parties and set the exchange ratio and structure. In ownership changes, successions and management buyouts (MBOs), we assess price, financing and how the transition can be carried out.
